The school offers a course on "Elon Musk's law": how the law constrains (or fails) Musk's decisions

Elon Musk is mired in legal battles from his compensation issue at Tesla, various securities investigations, the purchase of SolarCity and the latest lawsuit with Twitter.

Now, a California-based law school will offer its students a course focused on Musk's legal disputes.

For the next semester, UCLA Law School will introduce the "Law of Elon Musk" course, which corporate law expert Professor Stephen Bainbridge will teach.

The course summary reads: "As someone who manages an immense amount of other people's money, Musk is constantly faced with the temptation to pursue his interests and goals rather than to focus on the welfare of those who have entrusted him with their savings."

"This course examines how the law limits (or fails to) differences between Musk and shareholder interests."

In the course summary, it is also mentioned that Musk has generated a huge amount of litigation in corporate and securities law. In many situations, Musk's pushing style has led to the creation of new laws.

The organizing principle of this course is what economists call the principal-agent problem.

In a recent interview with NY Magazine, Bainbridge said Musk is generating a lot of interesting case law in Delaware. For example, there's a case going on about his Tesla CEO compensation package, which is a great deal because that's what will hit college students like a huge amount of money.

"There are all these cases in different areas that all involve Musk. Given his notoriety this year with Twitter and all, I thought this would be a way to really capture the students. attention,” he added.
